- You own what we build for you. We keep general know-how.
- Disputes go to arbitration in San Francisco, under California law.
1. Acceptance
These Terms of Service (“Terms”) govern your access to and use of the Aetheric HQ website at aetherichq.com (the “Site”) and any services delivered by Aetheric HQ (“Services”). By accessing the Site or engaging our Services, you agree to these Terms.
The Services are subject to a separate written Master Services Agreement (MSA) or Statement of Work (SOW) that will prevail over these Terms in case of conflict.
2. Use of the Site
- You may use the Site for personal or business research about Aetheric HQ.
- You may not scrape, mirror, or otherwise reproduce Site content for commercial purposes without prior written consent.
- You may not attempt to gain unauthorized access to any part of the Site or its infrastructure.
- You may not use the Site to violate any applicable law or third-party right.
3. Intellectual property
The Site, including its design, code, copy, and graphics, is owned by Aetheric HQ and protected by copyright and trademark law.
For delivered Services, intellectual property rights are defined in the applicable SOW. By default, Aetheric transfers all client-specific deliverables to the client upon final payment, retaining rights to general know-how, reusable components, and pre-existing materials.
4. Engagement terms
- Engagements begin upon signing of the SOW and payment of any agreed deposit.
- Scope, deliverables, timeline, and cost ceilings are fixed in the SOW and modified only via signed change orders.
- Either party may terminate the engagement per the terms in the SOW (typically a 14-day notice).
- Refunds, where applicable, are prorated based on work completed to date.
5. Payment
- Invoices are due net-14 unless otherwise specified in the SOW.
- Late payments accrue interest at 1.5% per month or the maximum legal rate, whichever is lower.
- Aetheric may suspend work on overdue accounts after 30 days past due, with notice.
6. Confidentiality
Each party will treat the other's confidential information with the same care it uses for its own (and no less than reasonable care). Confidentiality obligations survive termination for five (5) years. Specific carve-outs (public info, independently developed, etc.) apply per the MSA.
7. Warranties & disclaimers
Aetheric warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards.
Except as expressly stated, the Site is provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for purpose, and non-infringement.
Aetheric does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from or related to the Site or Services.
Each party's aggregate liability for direct damages will not exceed the amounts paid by the client to Aetheric in the twelve (12) months preceding the claim.
These limitations do not apply to (a) breach of confidentiality, (b) indemnification obligations, or (c) gross negligence or willful misconduct.
9. Indemnification
Each party will indemnify the other against third-party claims arising from its own breach of these Terms, gross negligence, or willful misconduct, subject to the limitation of liability above.
10. Governing law & disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles.
The parties will attempt to resolve disputes through good faith negotiation. Unresolved disputes will be submitted to binding arbitration in San Francisco, California, under the Commercial Arbitration Rules of the American Arbitration Association. Nothing in this section limits either party's right to seek injunctive relief to protect its intellectual property or confidential information.
11. Force majeure
Neither party will be liable for delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, government action, internet or utility outage, or labor disputes.
12. Changes to these terms
We may update these Terms. The “Last updated” date will reflect the change. Material changes will be communicated via the Site or email where appropriate. Continued use after a change constitutes acceptance.
